• "Uniformly", "we", "us" - Uniformly Ltd, a company registered in England and Wales (company number 17520887), whose registered office is 4 Redhouse Close, Solihull, B93 8AR, United Kingdom.
• "Buyer" - a user who purchases an item.
• "Seller" - a user who lists an item for sale, directly or on consignment.
• "Partner" - a school, PTA, sports club, scout group, dance academy, or community organisation that operates a portal.

You must be 18 or over to buy or sell on Uniformly. You must provide accurate information and keep your login secure. You are responsible for activity on your account. We may suspend or close accounts that breach these terms or that we reasonably suspect of fraud.

Sellers may list items directly or send them to Uniformly to sell on their behalf (consignment). Sellers confirm they own or are authorised to sell each item and that listings are accurate.

For consignment sales, Uniformly acts as the seller's agent and retains a 30% commission on the final sale price. The consignor's payout is held until 14 days after the buyer receives the item, so the change-of-mind window has passed. Unsold consignment items after 90 days are either returned to the seller at the seller's cost, or donated to the seller's chosen school or club - the seller chooses which when sending items in. Uniformly is liable for loss or damage while items are in our care, up to the listed price.

Buyers pay through Stripe at checkout. The total comprises the item price, a buyer fee of 5% per basket, from 50p, max £2.50; 3.5% over £75, and any delivery charge. Free baskets have no fee.

Keep-100% purchases: these are charged directly to the seller's own Stripe connected account. The seller is the merchant of record for their items and agrees to Stripe's Connected Account Agreement. The buyer fee is collected by Stripe as an application fee on the charge; the seller's Stripe balance increases by exactly the item price. The buyer's bank statement shows the seller's name followed by UNIFORMLY.

Donation purchases: Purchases of items being donated to a school or club are charged by Uniformly, which passes the donated share to the organisation's verified account once the order is complete. Your statement shows UNIFORMLY.

Holding and releasing funds: You pay securely through Stripe. The seller isn't paid until you've collected or received your item. Funds become withdrawable only when the order is complete: for collection orders, when the buyer confirms collection; for posted orders, when the buyer confirms receipt, or automatically 14 days after the seller marks it dispatched if no issue has been raised. Raising an issue pauses the payout. The seller can then withdraw from £10 via their dashboard. Any funds held for 80 days are paid out automatically. Sellers do not need to set up Stripe payout details when listing; when their first item sells, Uniformly emails them with instructions to complete onboarding and link a bank account.

Lost parcels: If a posted parcel is lost, the buyer is refunded in full. The seller is responsible for claiming compensation from their carrier; the refund is deducted from the seller's earnings. We recommend tracked postage for every order.

The buyer fee funds platform operations, payment processing, and buyer protection. It keeps Uniformly running. Sellers keep 100% of their price. Organisations receive 100% of their own stock sales and 100% or 50% of items parents donate to them at listing - no automatic fee share is paid to organisations.

Voluntary donation splits & seller options: Sellers retain full discretion over item pricing and proceed allocations. During listing creation, sellers may elect to:

• Donate 100% of the full item price to a designated school or club.
• Donate 50% of the full item price to a designated school or club and retain 50%.
• Retain 100% of the full item price (0% donation).

Donation options are only available when the seller has chosen a school or club. If no school or club is chosen, the seller can only select "Keep 100%" until they add one.

Payout processing: Seller earnings (100% of the item price) are charged directly to the seller's own Stripe connected account at checkout. The seller can withdraw their balance from £10 once the order is complete. Any funds held for 80 days are paid out automatically. Donated funds (100% or 50% split) allocated to registered and verified schools or organisations are settled via Stripe Connect on the organisation's chosen payout schedule: monthly (first working day of each month) or four times a year (October half-term, December, Easter and end of July). Uniformly is not liable for payout delays caused by incomplete Stripe onboarding or seller verification.

Refunds and disputes: When a charge is refunded, Uniformly reimburses the seller for the unrecovered Stripe processing fee. When a dispute arises and the seller was not at fault (item as described, delivered or collected), Uniformly reimburses the dispute fee. Every reimbursement is logged.

Unlinked bank account: If you haven't linked a bank account, we'll hold your earnings and remind you by email. You can claim them at any time by contacting info@uniformly.app.

Partners are responsible for managing their portal, members, and listings. The first member to complete setup becomes the Organisation Owner and can invite others as Admins or Volunteers.

Roles: The Owner has full access: settings, branding, stock, payouts, bank details, billing and team management. An Admin can do everything except manage payouts/bank details and delete the organisation. A Volunteer has sale-day mode only (view stock, Mark as sold, and Pro/pass features such as scanning and Scan to pay) and cannot access payouts, bank details, billing, settings or report exports.

Inviting the team: The Owner (and Admins) can invite people by email as Admin or Volunteer from the Team tab in the organisation dashboard. The invitee receives a one-click 'Join [School] on Uniformly' link and can sign up with email or Google. The Owner can remove anyone at any time.

Sale-day quick access: On the sale-day screen, the Owner or Admin can tap 'Start a sale day' to create a sale-day link and a 4-digit PIN, valid until the end of that day or until ended manually. Volunteers open the link on their phone, enter the PIN and go straight into sale-day mode with Volunteer permissions - no account needed. Device limits apply: Free = 1 volunteer phone at a time; Pro or a £9 pass = up to 5. Active devices are shown on the sale-day screen with a 'Remove' option; 'End sale day' disables the link and PIN.

Partners choose a payout schedule in their portal: monthly (first working day of each month) or four times a year (October half-term, December, Easter and end of July) – your choice. Minimum £20; smaller balances roll over. An automatic safety payout is triggered if any funds have been held for 80 days. Partners can also use the 'Pay out now' button once the balance reaches £20.

Parent sales & organisation payouts: Sellers retain 100% of their listed sale price on direct sales. Organisations receive 100% or 50% of items parents donate to them at listing (the seller chooses), and 100% of their own stock sales. There is no automatic fee share from parent sales to organisations.

Direct organisation inventory: Organisations listing and selling physical stock directly via their portal retain 100% of their listed item price.

Stripe verification & payout timing: Organisation payouts are restricted to verified organisation bank accounts using Stripe Connect. When you choose to donate, Uniformly takes the payment and passes your chosen share to the school or club's verified account once the order is complete. Organisations are paid monthly (first working day of each month) or four times a year (October half-term, December, Easter and end of July), as they choose, once the balance reaches £20. Automatic payouts are not made on orders with an open issue. Donation recipients can only be organisations that are verified with payouts enabled. If an organisation is no longer verified, checkout is blocked.

You must not list counterfeit, stolen, unsafe, or prohibited items, misrepresent condition, or attempt to transact outside the platform to avoid fees.

Direct messaging: Buyers and sellers may message each other through Uniformly's in-app chat before a purchase to ask about size, condition, or collection. All pre-purchase conversations must stay within the platform. Email addresses and phone numbers are never shared. For posted orders, only the buyer's name and delivery address are shared with the seller. You must not attempt to circumvent this by posting contact details in messages. Abusing the messaging system (spam, harassment, phishing, or off-platform payment requests) is prohibited and may result in account suspension.

Collection safety: For collection orders, agree a time and a safe public place you both agree on (some schools offer reception collection) in the in-app chat, inspect the item on collection, and confirm receipt on your order page so the seller's payout is released. Never pay a seller outside Uniformly's secure checkout.

Payment safety: You pay securely through Stripe. The seller isn't paid until you've collected or received your item. When you choose to donate, Uniformly takes the payment and passes your chosen share to the school or club's verified account once the order is complete.

If a buyer is refunded after a seller has been paid, Uniformly may deduct the refunded amount from the seller's future earnings or request repayment. For direct charges, the refund is issued on the seller's connected account and the application fee is refunded to the platform; if the seller has already withdrawn, their Stripe balance goes negative and is deducted from future payments automatically. For platform-holding charges, the refund is issued from the platform and any Transfer already made is reversed; if the transfer was already paid out, a negative balance is recorded and deducted from future earnings. Disputes are handled via Stripe; Uniformly is notified when a dispute opens or closes and blocks the related payout until resolved.

You can close your account at any time from your dashboard. We may suspend or terminate access immediately where there is a breach, a legal obligation, or a serious risk to the platform or other users. Outstanding payouts and obligations survive termination.

Uniformly provides a marketplace and is not the seller of directly-listed items. We act as agent for consignment items. Our liability for losses is limited to the order value, except where law (for example the Consumer Rights Act 2015) provides otherwise.

These terms are governed by the laws of England and Wales. Any dispute will be subject to the exclusive jurisdiction of the courts of England and Wales, except that consumers may invoke the consumer dispute resolution rules of the country in which they live.

Free (£0 forever): The Free plan is for every school, PTA and club. It includes a public marketplace hub, online shop, custom branding, printable QR flyers and social sharing, donated items and own-stock sales paid to the organisation, plus Mark as sold for in-person sales (tap an item and record Card, Cash or Other - no Uniformly fee; one volunteer device at a time). No subscription, listing or setup fees apply. Academy trusts and multi-site organisations can contact us for a multi-site plan.

Uniformly Pro (£6/month or £49/year) or 7-day sale-day pass (£9): Both unlock Scan to pay (parents pay on their own phone with Apple Pay, Google Pay or card via Stripe; the standard buyer fee applies). The pass is valid for 7 days; Pro covers every sale day all year. Pro is billed via Stripe and renews automatically until cancelled from the billing portal. Further sale-day tools (barcode labels, phone scanning, live dashboard, reports, basket scanning, multi-volunteer sync) are coming soon and will be added to Pro and the pass at no extra cost.

Pro only (not in the pass): Website embed (storefront widget and direct buy links) and priority support are available exclusively with an active Pro subscription.

Pass expiry: When a 7-day pass expires, Scan to pay QR codes stop working and display a "This sale has ended - shop online" notice linking to the organisation's online shop; other sale-day features switch off. Reports already generated remain downloadable.

Trusts & Organisations (on request): Academy trusts and multi-site organisations can contact Uniformly for a multi-site plan covering every school or site.

Mark as sold (in-person sales): Organisation volunteers may mark an item sold at the stall and select a payment method (Card using the organisation's own reader such as SumUp or Square, Cash, or Other). These sales carry no Uniformly fee and pay nothing through Uniformly - the organisation keeps the money directly. The item is removed from online stock instantly and recorded in the organisation's sales report (date, item, price, payment method).

Scan to pay (QR checkout): Organisations may generate printable QR codes for individual item tags and a table QR that opens the organisation's in-person stock list. Scanning opens normal Uniformly checkout on the parent's phone (Apple Pay, Google Pay or card via Stripe) with collection set to "Organise collection - at the stall". The standard buyer fee (5% per basket, from 50p, max £2.50; 3.5% over £75) applies. On payment the item is marked sold instantly and the parent is shown a PAID confirmation screen.

Tier Entitlements & Feature Availability: External website embedding, iFrame storefront widgets, and direct buy buttons are premium tools available exclusively to organisations with an active Uniformly Pro subscription (£6/month or £49/year). Free accounts retain access to standard marketplace landing pages, fundraising payouts, downloadable QR code flyers and Mark as sold for in-person sales, but cannot embed interactive widgets on external domains. Scan to pay is included with Pro (or a 7-day sale-day pass at £9).

Disablement Upon Subscription Termination: Access to external website embedding and direct buying widgets is strictly contingent upon maintaining an active Pro subscription. Upon cancellation, non-payment, or expiration of a Pro subscription, embedded widgets and direct buy tools on external organisation domains will be automatically disabled. Sale-day features (including Scan to pay) are similarly disabled when the Pro subscription or 7-day pass expires; Scan to pay QR codes display a "This sale has ended - shop online" notice linking to the organisation's online shop. Reports already generated remain downloadable.

External Embedding & Security Compliance: Active Pro organisations are permitted to embed their Uniformly storefront widget or direct buy links onto official third-party websites. All transactions remain subject to Uniformly's standard secure checkout protocol, encryption standards, and automated payment processing. Organisations must not attempt to bypass platform payment channels, alter embedded security script protocols, or collect card data outside the secure Stripe frame.

Subscription Terms: Pro subscriptions are billed on a recurring monthly or annual basis and can be cancelled at any time via the Organisation Admin Portal. The 7-day sale-day pass is a one-off purchase valid for a single pop-up sale window.

Uniformly may offer a limited number of Founding School places, giving the first 25 approved schools and clubs Uniformly Pro free for 12 months. No card is needed and no payment method is required. The offer is limited to one Founding School place per organisation.

Eligibility: The first 25 organisations whose applications are approved by Uniformly (in its sole discretion) receive the offer. Applications are made through the on-site form and reviewed within 2 working days. Uniformly may decline an application at its discretion; declined applicants are offered the Free plan and the £9 sale-day pass.

End of term: At the end of the 12-month period, the organisation automatically reverts to the Free plan unless it has chosen to subscribe to Pro (£6/month or £49/year). Uniformly will never charge a Founding School automatically. Reminder emails are sent 30 days and 7 days before the end date. A "Founding School" badge is displayed on the organisation's public hub and directory listing while Pro is active.
